TEXT ORDER granting #7 Motion to Dismiss for Failure to State a Claim: Plaintiff's Motion to Dismiss the Defendant's Counterclaims #7 is GRANTED. The Employment Agreement between the parties mandates that North Carolina is the governing law. Because the counterclaims are predicated on and arise out of Mr. Kapadia's employment with the Defendant, the choice of law designation in the Employment Agreement controls the issues here. Because North Carolina does not recognize a duty of loyalty claim and does not recognize punitive damages as an independent cause of action, the counterclaims have no basis in law and must be dismissed.
